- "Improvement" means any idea, addition, modification or improvement to the (a) goods or services offered or sold at a Salon, (b) method of operation of a Salon, (c) processes, systems or procedures utilized by a Salon, (d) marketing, advertising or promotional materials, programs or strategies utilized by a Salon or (e) trademarks, service marks, logos or other intellectual property utilized by a Salon, whether developed by you, Franchisee, us or any other person.

This broad definition means that any enhancement or alteration in any aspect of the Itan Salon's business, from the core offerings to its branding and operational methods, falls under the umbrella of 'Improvement.' It also specifies that these improvements are included whether developed by the franchisee, the franchisor, or any other person. This is important because, as stated in chunk 3, the franchisee agrees to assign to Itan or its designee, without charge, all rights to any Improvement developed by them, including the right to grant sublicenses.
