Who controls litigation relating to Itan IP Disputes?

According to Itan's 2025 Franchise Disclosure Document, Itan maintains exclusive control over all litigation and other proceedings pertaining to intellectual property disputes. As a franchisee, you are obligated to promptly inform Itan of any IP Dispute that arises. Furthermore, you are prohibited from communicating with anyone other than Itan and its legal counsel regarding the dispute.

Itan has the sole discretion to decide what actions, if any, will be taken in response to an IP Dispute. Franchisees are required to execute all documents, provide assistance, and perform any actions deemed necessary or advisable by Itan's counsel to protect or maintain Itan's interest in the proceeding and/or protect the Intellectual Property.

This means that if a dispute arises concerning Itan's intellectual property, such as trademarks or proprietary information, Itan will take the lead in managing any legal proceedings. The franchisee's role is to support Itan by providing necessary documentation and assistance as directed by Itan's legal team. This arrangement centralizes control over IP disputes with the franchisor, which is a common practice in franchising to ensure consistent protection of the brand's intellectual property assets.
