What This Means (2025 FDD)

According to Itan's 2025 Franchise Disclosure Document, an 'Improvement' is defined broadly as any enhancement or modification to various aspects of the Itan salon business. This includes ideas, additions, or modifications to the goods or services offered at the salon, the methods of operation, processes, systems, or procedures used, and the marketing, advertising, or promotional materials. It also extends to any changes or enhancements to the trademarks, service marks, logos, or other intellectual property used by the salon.

This definition encompasses improvements developed not only by the franchisee but also by the franchisor, employees, or any other person. This means that any innovation, regardless of its source, that enhances the Itan business model falls under the umbrella of 'Improvement.'

It is important to note that Itan requires franchisees to disclose any Improvements they develop and to obtain approval before implementing them. Furthermore, Itan retains the right to use any approved Improvement across the franchise system without compensating the franchisee who developed it, and may also require assignment of ownership of the Improvement to Itan. This clause highlights the importance for prospective franchisees to understand the terms regarding intellectual property and innovation within the Itan franchise agreement.
