What This Means (2025 FDD)

According to Itan's 2025 Franchise Disclosure Document, an 'Improvement' encompasses a broad range of ideas and modifications related to the Itan salon business. This includes any idea, addition, modification, or improvement to the goods or services offered at the salon, the methods of operation, the processes, systems, or procedures used, and the marketing, advertising, or promotional materials. It also extends to any changes or enhancements to the trademarks, service marks, logos, or other intellectual property used by the salon.

This definition is significant for prospective Itan franchisees because it clarifies that any innovation or enhancement they develop or contribute to the Itan system becomes the property of the franchisor. While franchisees are encouraged to suggest improvements, Itan retains the right to use these improvements across the entire franchise network without compensating the originating franchisee. This is a common practice in franchising, allowing franchisors to maintain consistency and leverage successful innovations across all locations.

It is important for franchisees to understand that while they can propose improvements, they must obtain approval from Itan before implementing them. Furthermore, Itan requires franchisees to assign ownership of any approved improvement to the company, including all associated intellectual property rights. If assigning ownership is not legally possible, the franchisee must grant Itan a perpetual, royalty-free license to use and sublicense the improvement. This ensures that Itan maintains control over the brand and system standards, while franchisees contribute to the ongoing development of the Itan concept.
