Before you open, we will: (a) assist you in developing a marketing plan for your Salon, including a grand opening marketing plan; and (b) provide you with an initial supply of approved promotional materials, which you may replicate and modify with our prior approval.

We may periodically create advertising and marketing materials for your use. We may: (a) use the Brand Fund to pay for the creation and distribution of these materials, in which case there will be no additional charge; (b) provide online access to these materials, in which case you must print the materials at your expense; or (c) contract with third-party suppliers to create advertising or marketing materials that you may purchase.

Grand Opening Marketing

You must spend at least $5,000 on grand opening marketing activities. Based on your grand opening marketing plan and our assessment of your local market conditions, we may recommend (but not require) that you spend more than the $5,000 minimum.

Ongoing Local Marketing By You

Commencing with your opening date, you must spend an amount equal to or greater than the Local Marketing Commitment (which is 2% of Gross Sales) on local advertising each month. We may increase your Local Marketing Commitment up to a maximum of 3.5% of Gross Sales on 30 days' notice. Brand fund fees and grand opening marketing expenditures are in addition to, and not credited towards, your Local Marketing Commitment. You may develop your own advertising and marketing materials and programs, provided we approve them in advance. We must also approve the media you intend to use. You may not use any advertising

materials, programs or media that we have not approved.

Websites, Social Media and Digital Advertising

We will maintain a corporate website to promote our brand. We will also create and host a local webpage to promote your Salon, which will be linked to our corporate website. Your webpage will list certain information about your Salon, such as address, contact information and hours of operation.

After opening, you must spend at least 2% of Gross Sales on local advertising each month, which Itan may increase to a maximum of 3.5% of Gross Sales with 30 days' notice. These local marketing expenditures are in addition to brand fund fees and grand opening marketing expenses.

Itan will maintain a corporate website and create a local webpage for your Salon, which will be linked to the corporate website. They will also set up an Instagram account for your Salon, which they will own, and you must regularly post content according to their guidelines. Except for the webpage Itan provides, you may not develop or maintain any other website or digital presence for your Salon, conduct online advertising, or engage in e-commerce.
