What This Means (2025 FDD)

According to Itan's 2025 Franchise Disclosure Document, as an employee or independent contractor of an Itan franchisee, you are restricted in how you use Itan's Intellectual Property and Confidential Information. Specifically, you must refrain from using the Intellectual Property or Confidential Information in any business or for any purpose other than the operation of the franchisee's Itan salon. This restriction is in place to protect Itan's brand and system.

Additionally, you are obligated to maintain the confidentiality of the Confidential Information at all times. This means you cannot disclose this information to unauthorized parties. You are also prohibited from making unauthorized copies of documents containing Confidential Information. This prevents the spread of sensitive information that could harm Itan's competitive advantage.

Furthermore, you must take all steps reasonably required by Itan to prevent unauthorized use or disclosure of Confidential Information. This could include securing documents, limiting access to digital files, and adhering to specific protocols outlined by Itan. Finally, you must immediately stop using the Intellectual Property and Confidential Information once you are no longer an employee or independent contractor of the Itan franchisee. This ensures that you do not continue to use Itan's proprietary information after your association with the franchise has ended.

These restrictions are typical in franchise agreements to protect the franchisor's brand, trade secrets, and competitive edge. Prospective Itan franchisees should understand that these obligations extend not only to themselves but also to their employees and independent contractors, and that failing to enforce these provisions could have legal and financial repercussions.
