What This Means (2025 FDD)

According to Itan's 2025 Franchise Disclosure Document, a 'Transfer' encompasses a broad range of actions related to the franchise agreement, rights, business, assets, or equity. Specifically, it includes any direct or indirect, voluntary or involuntary assignment, sale, conveyance, subdivision, sublicense, or other transfer or disposition.

This definition extends to several aspects of the Itan franchise. It includes the franchise agreement itself or any interest within it, the franchise or intellectual property rights granted by the agreement, the business conducted under the agreement, and the salon's assets (excluding the sale of fixtures or equipment in the ordinary course of business). Furthermore, it includes any equity interest in the business or franchisee entity.

For a prospective Itan franchisee, this definition is crucial because it outlines the various ways in which ownership or control of the franchise can change hands. Any action falling under this definition would likely require franchisor approval and may be subject to specific conditions or fees as outlined in the franchise agreement. It is important to understand these restrictions before entering into a franchise agreement to avoid potential breaches or disputes.
