What This Means (2025 FDD)

According to Itan's 2025 Franchise Disclosure Document, the notice provision for the franchise agreement is detailed in section 24.14. This section specifies that all notices and notifications must be in writing and can be delivered via hand delivery, registered or certified air mail (postage prepaid, return receipt requested), special delivery service (such as Federal Express, DHL, or UPS), or email. The addresses for sending notices are outlined as follows: for the franchisee, it is as set forth in Part A of ATTACHMENT "A," and for Itan Franchising, Inc., it is 1784 La Costa Meadows Dr., #101, San Marcos, California 92078, with attention to the Chief Executive Officer and via email to Faraje@itan.com.

The FDD further clarifies when a notice is considered to be given. It is deemed given on the earliest of the following occurrences: the date of hand delivery; the third business day after being placed in the mail or with a special delivery service; or the first calendar day after being sent by email. This ensures clarity and accountability in all communications between Itan and its franchisees.

For the Development Agreement, the notice provision is found in section 13.13, which states that all notices and notifications given under the Development Agreement must be provided in accordance with the Notice Provision of the Initial Franchise Agreement. This means that the same methods of delivery and addresses apply to both the Franchise Agreement and the Development Agreement, ensuring consistency in communication protocols.
