Under what conditions will Hyper Kidz and its affiliates refrain from developing or franchising Hyper Kidz Businesses within the Development Area?

- 4.2 Provided you are in full compliance with all the terms and conditions of this Agreement, including without limitation your development obligations described in Section 3.2, and you are in full compliance with all of your obligations under all franchise agreements executed pursuant to this Agreement, then during the term of this Agreement neither we nor any of our affiliates will develop or operate or grant franchisesfor the development or operation of Hyper Kidz Businesses within the Development Area, except the franchisesthat are granted to you pursuant to this Agreement and except as otherwise expressly provided in this Agreement.
- 4.3 Upon the termination or expiration of this Agreement, we and our affiliates shall have the right to develop and operate, and to grant to others development rights and franchises to develop and operate, Hyper Kidz Businesses within the Development Area subject only to the territorial rights granted to you with respect to Businesses operated by you pursuant to the Franchise Agreements and the right of first refusal described in Section 6 below.

What This Means (2024 FDD)
According to Hyper Kidz's 2024 Franchise Disclosure Document, Hyper Kidz and its affiliates will not develop or operate Hyper Kidz businesses, or grant franchises for such development or operation, within a franchisee's Development Area under specific conditions. This protection is in place only if the franchisee is in full compliance with all the terms and conditions of the Multi-Unit Development Agreement. This includes meeting the development obligations outlined in Section 3.2 of the agreement and fulfilling all obligations under any franchise agreements executed as part of the Development Agreement.
This restriction on Hyper Kidz and its affiliates is not absolute. The FDD states that the restriction is subject to the provisions of the agreement and exceptions expressly provided within the agreement. Upon the termination or expiration of the Development Agreement, Hyper Kidz and its affiliates regain the right to develop, operate, and franchise Hyper Kidz businesses within the former Development Area. However, this is subject to any territorial rights the franchisee retains concerning businesses they operate under existing Franchise Agreements and the right of first refusal detailed in Section 6 of the agreement.
This clause provides a limited period of territorial protection for the franchisee, incentivizing them to meet their development obligations and maintain compliance with the agreement. The franchisee needs to carefully review the entire agreement to understand the scope and limitations of this protection, including the conditions that trigger its termination and Hyper Kidz's rights following the agreement's expiration.
