What This Means (2024 FDD)
According to Hyper Kidz's 2024 Franchise Disclosure Document, the territory is defined in accordance with Section 8.1 of the Franchise Agreement. The specific details, including whether it is defined by zip codes, are to be determined after identification by the franchisee and approval by Hyper Kidz. The agreement grants the franchisee the right to operate at a single location within the territory, and Hyper Kidz agrees not to operate or authorize other franchisees to operate within that territory, as long as the franchisee is not in default.
Hyper Kidz retains the right to operate or franchise outlets bordering and adjacent to the territory. The franchisee is prohibited from serving or soliciting customers outside of the designated territory. The franchise is nonexclusive but does grant a protected area or territory referred to as the "Designated Territory," which is described in an attachment to the agreement.
Hyper Kidz also retains rights to produce, offer, and sell products and services through other channels of distribution, both within and outside the Designated Territory, under different marks. They also retain the right to operate Hyper Kidz outlets outside the Designated Territory, regardless of proximity to the franchisee's outlet. Additionally, Hyper Kidz can acquire and operate a business operating child development outlets within the Designated Territory, as long as they do not use the Hyper Kidz marks.
