What This Means (2024 FDD)
According to the 2024 Hyper Kidz Franchise Disclosure Document, Hyper Kidz is obligated to protect a franchisee's right to use its trademarks, service marks, trade names, logotypes, or other commercial symbols in Minnesota. This protection extends to indemnifying the franchisee from any losses, costs, or expenses that may arise from claims, suits, or demands related to the use of the Hyper Kidz name. Minnesota considers it unfair for Hyper Kidz not to protect the franchisee's right to use the trademarks. This requirement is detailed in Minnesota Statutes, Section 80C.12, Subd. 1(g).
This requirement is part of an addendum specific to Minnesota, indicating that Minnesota law places particular importance on protecting franchisees' rights to use the franchisor's trademarks. This addendum also includes stipulations regarding litigation, waivers, termination notices, and transfer of the franchise, reflecting Minnesota's specific legal protections for franchisees.
For a prospective Hyper Kidz franchisee in Minnesota, this means that Hyper Kidz is legally bound to defend their right to use the brand's trademarks and to cover any costs or damages resulting from legal challenges to that use. This provides an additional layer of security and reduces the risk of financial losses due to trademark disputes. Franchisees should carefully review the Minnesota Statutes, Section 80C.12, Subd. 1(g), to fully understand their rights and Hyper Kidz's obligations in this regard.
