What This Means (2024 FDD)

According to Hyper Kidz's 2024 Franchise Disclosure Document, a franchisee's lease assignment serves multiple purposes that protect the franchisor's interests and ensure business continuity. Specifically, Hyper Kidz requires the right to receive notice of franchisee default, the option to cure the default, and the ability to assume the lease upon termination or expiration of the franchise agreement. These stipulations enable Hyper Kidz to maintain control over the location and potentially continue operations, even if the franchisee fails to meet their obligations or the franchise agreement ends. This is a fairly standard practice in franchising, as the location is often critical to the success of the business.

Furthermore, the lease assignment provision allows Hyper Kidz to receive sales and other information directly from the lessor or sublessor, ensuring transparency and access to important business data. It also secures the lessor's consent for the franchisee to display Hyper Kidz's trademarks and requires that any lease modifications are subject to Hyper Kidz's prior written consent. These measures help maintain brand consistency and protect Hyper Kidz's intellectual property rights.

Finally, the lease assignment is also used in the event of a transfer of the franchise to a new franchisee. The lessor or sublessor of the Hyper Kidz Business must consent in writing to the assignment of the lease to the proposed transferee. This ensures that the new franchisee has a secure location from which to operate the business. In the event that Hyper Kidz exercises its option to purchase the business, the franchisee must deliver the lease or sublease for the site to Hyper Kidz or its assignee.
