- License to you the right to use the Marks and certain copyrighted works and will indemnify you from certain claims relating to your use of the Marks as more fully described in Items 13 and 14. (Franchise Agreement – Articles 6 and 7.)

What This Means (2024 FDD)
According to Hyper Kidz's 2024 Franchise Disclosure Document, Hyper Kidz does provide some indemnification to franchisees regarding the use of its trademarks or 'Marks.' Specifically, Hyper Kidz licenses franchisees the right to use the Marks and certain copyrighted works.
Hyper Kidz will indemnify franchisees from certain claims relating to the use of the Marks, as described further in Items 13 and 14 of the FDD. Additionally, Hyper Kidz will provide indemnification against and reimbursement for all damages for which a franchisee is held liable in any proceeding arising out of the use of any of the Marks, including settlement amounts.
However, this indemnification is conditional. The franchisee must have fully complied with the terms of the Franchise Agreement to be eligible for indemnification. This means that if a franchisee breaches the agreement in any way, they may lose the right to be indemnified by Hyper Kidz for claims related to the use of the Marks. Prospective franchisees should carefully review Items 13 and 14, as well as the full Franchise Agreement, to understand the scope and limitations of this indemnification.
