You may not use the Marks as a part of your corporate or other legal name, and you must comply with our instructions in filing and maintaining trade name or fictitious name registrations. You must sign any documents we require to protect the Marks or to maintain their continued validity and enforceability. In addition, you may not directly or indirectly contest the validity of our ownership of or our rights in and to the Marks.

What This Means (2024 FDD)
According to the 2024 Hyper Kidz Franchise Disclosure Document, franchisees are explicitly prohibited from contesting the validity of Hyper Kidz's trademark ownership. The Franchise Agreement grants franchisees the right to use Hyper Kidz's trademarks, trade names, service marks, symbols, emblems, logos, and indicia of origin, but this right is contingent on adhering to Hyper Kidz's authorized usage guidelines and is solely for operating the Franchised Business.
This restriction is a standard practice in franchising, as the strength and uniformity of the brand are critical to the success of both the franchisor and the franchisees. Allowing individual franchisees to challenge the trademark could create legal complications and undermine the brand's integrity. Franchisees must sign documents required by Hyper Kidz to protect the trademarks and maintain their validity and enforceability.
The FDD also states that franchisees must notify Hyper Kidz immediately of any apparent infringement or challenges to the use of any Mark. Hyper Kidz retains sole discretion to take action regarding any infringement, challenge, or claim related to the Marks and will control any related litigation. Franchisees are required to assist Hyper Kidz in protecting its interests in such matters. This further reinforces the franchisee's obligation to support and protect the Hyper Kidz brand and its associated trademarks.
