Works and/or for you to use one or more additional or substitute copyrighted or copyrightable items, you agree to immediately comply with our directions to modify or otherwise discontinue the use of the copyrighted materials and/or to use one or more substitute materials.
ARTICLE 8: CONFIDENTIAL INFORMATION
8.1 Definition of "Confidential Information"
We possess and will further develop and acquire "Confidential Information" including, but not limited to, the following categories of information, methods, techniques, procedures, and knowledge developed or to be developed by us, our Affiliates and/or franchisees:
- (a) methods, techniques, specifications, standards, policies, procedures, information, concepts and systems relating to and knowledge of and experience in the development, operation, and franchising of Hyper Kidz Businesses;
- (b) marketing and promotional programs for Hyper Kidz Businesses;
- (c) knowledge of specifications for and knowledge of suppliers of certain materials, equipment and fixtures for Hyper Kidz Businesses;
- (d) the terms of this Agreement;
- (e) the Operations Manual; and
- (f) all data relating to the sales and operations of your Hyper Kidz Business.

What This Means (2024 FDD)
According to Hyper Kidz's 2024 Franchise Disclosure Document, the franchise agreement does address knowledge of suppliers for materials, equipment, and fixtures. Hyper Kidz retains Confidential Information that includes "knowledge of specifications for and knowledge of suppliers of certain materials, equipment and fixtures for Hyper Kidz Businesses". Hyper Kidz will disclose parts of the Confidential Information required for operating a Hyper Kidz Business during training and ongoing guidance.
This means that as a Hyper Kidz franchisee, you will receive information about approved suppliers for the necessary materials, equipment, and fixtures. However, this information is considered confidential and proprietary to Hyper Kidz. You are only allowed to use this information to operate your franchise and cannot share it with unauthorized parties or use it for any other business ventures.
Hyper Kidz maintains control over the approved suppliers and can modify the list of approved brands and/or suppliers. Franchisees must adhere to the approved supplier list and are prohibited from reordering from suppliers that are no longer approved after receiving written notification of such changes. This ensures consistency and quality across all Hyper Kidz locations, but it also limits the franchisee's autonomy in choosing suppliers.
This arrangement is fairly typical in franchising, where franchisors seek to maintain brand standards and quality control through designated suppliers. While it may limit a franchisee's options, it also provides the benefit of leveraging the franchisor's established relationships and negotiated pricing with suppliers.
