What This Means (2024 FDD)

According to the 2024 Hyper Kidz Franchise Disclosure Document, a material breach of the Franchise Agreement occurs if a franchisee provides any product or service at or from any location except the approved site. This includes any direct or indirect use of the Hyper Kidz system, the licensed marks, or the sale of any approved product or service outside of the designated location, unless specifically approved by Hyper Kidz.

This provision is significant for prospective franchisees as it strictly limits where they can operate and sell approved products and services. Operating outside the approved location, without explicit permission, can lead to termination of the franchise agreement. This restriction ensures that Hyper Kidz maintains control over its brand and service quality, preventing franchisees from diluting the brand by operating in unauthorized locations or through unapproved channels.

Hyper Kidz retains all rights regarding the sale of approved products and services, and any other products and services, anywhere in the world. This includes the right to produce, offer, and sell products offered at Hyper Kidz outlets through various channels of distribution, both within and outside the franchisee's designated territory, under different trade and service marks. Hyper Kidz also reserves the right to operate or franchise outlets outside the designated territory, regardless of their proximity to the franchisee's location. These retained rights underscore Hyper Kidz's control over its brand and market presence, which may impact a franchisee's business strategy and potential revenue streams.

Franchisees should be aware that this limitation is strictly enforced, and any deviation without prior approval can have serious consequences, including termination of the agreement. Therefore, it is crucial for franchisees to adhere to the approved location and seek explicit permission from Hyper Kidz for any activities outside of this designated site.
