What This Means (2024 FDD)
According to the 2024 Hyper Kidz Franchise Disclosure Document, a franchisee may face competition from various sources. The FDD specifies that the grant of territory is not exclusive, meaning Hyper Kidz franchisees could face competition from other franchisees, outlets that Hyper Kidz owns, other channels of distribution, or competitive brands that Hyper Kidz controls. This lack of exclusivity means that a franchisee's success is highly dependent on their own marketing and operational efforts, as Hyper Kidz does not guarantee protection from internal competition.
Hyper Kidz and its affiliates retain the right to sell products and services under their trademarks through any method of distribution other than a dedicated Hyper Kidz Business, including online sales, catalog sales, telemarketing, or other direct marketing sales. A franchisee will not receive any compensation for sales made through these alternative distribution channels, even if the order originates from or is delivered to an address within their designated territory. This could impact a franchisee's revenue potential, especially in areas with a strong online presence.
Hyper Kidz also retains the right to acquire and operate a business with one or more indoor recreation facilities located or operating in a franchisee's Designated Territory. However, if Hyper Kidz does acquire such a business, the facilities located or operating within the franchisee's Designated Territory will not use the Hyper Kidz Marks. Furthermore, Hyper Kidz and its affiliates have the right to offer and sell products and services under trade and service marks other than the Hyper Kidz marks, both within and outside the Development Area, under any terms and conditions they deem appropriate. This clause allows Hyper Kidz to diversify its offerings without being restricted by the franchise agreement, potentially creating competition for franchisees.
