What This Means (2024 FDD)

According to the 2024 Hyper Kidz Franchise Disclosure Document, the goodwill established by the use of the Hyper Kidz marks benefits the franchisor, Boomerang Franchise LLC, exclusively. This means that while franchisees contribute to building brand recognition and a positive reputation through their operations, the ultimate value of that goodwill accrues solely to the benefit of Hyper Kidz.

This arrangement is typical in franchising, as the franchisor owns the trademarks and brand identity. The franchisee's right to use the marks is derived solely from the Franchise Agreement, and is contingent upon operating the Hyper Kidz Business in compliance with the agreement's standards and procedures. Any unauthorized use of the marks by the franchisee is considered a breach of contract and an infringement of Hyper Kidz's rights.

For a prospective Hyper Kidz franchisee, this means that while their efforts can increase the value and recognition of the Hyper Kidz brand in their territory, they do not gain any ownership or equity in the brand itself. The goodwill remains the property of Hyper Kidz, which can impact the resale value of the franchise, as the value is tied to the ongoing operation under the Hyper Kidz brand rather than the franchisee's individual brand equity.

It is important for franchisees to understand that their investment in building the Hyper Kidz brand primarily benefits the franchisor. While a strong brand can certainly help the franchisee's business succeed, the long-term value of that brand recognition belongs to Hyper Kidz. This is a standard element of most franchise agreements, designed to protect the franchisor's intellectual property and ensure consistent brand standards across all locations.
