What This Means (2025 FDD)

According to Hydrodog's 2025 Franchise Disclosure Document, Hydrodog places several restrictions on a franchisee's ability to transfer the franchise agreement. Hydrodog maintains the right to approve all transfers, encompassing voluntary or involuntary, direct or indirect assignments, sales, gifts, or other dispositions of any interest in the Franchise Agreement, the franchisee, or the HydroDog Business. This approval extends even to transfers to a Business Entity controlled by the franchisee.

Hydrodog lists conditions for approval of a transfer. The new franchisee must meet Hydrodog's qualifications, and the current franchisee must pay all outstanding amounts owed to Hydrodog. Both the transferee and its managerial employees must complete the required training. The transferee must agree to be bound by the terms and conditions of the then-current Franchise Agreement, which must be signed along with payment of the then-current initial franchise fee. Hydrodog must approve the material terms of the transfer, and the current franchisee must subordinate any amounts due to them and sign any other required documents, including general releases in the form provided in Exhibit "E".

Hydrodog also retains a right of first refusal to acquire the franchisee's business. Hydrodog can match any offer for an ownership interest in the franchisee, the Franchise Agreement, or the HydroDog Business. Hydrodog may substitute cash for any form of payment at a discounted amount if an interest rate will be charged on any deferred payments. Hydrodog's credit will be deemed equal to that of any proposed purchaser, and Hydrodog will have no less than 60 days to prepare for closing and receive all customary representations and warranties, as they specify.

In the event of the death or disability of the franchisee, the franchise or an ownership interest must be assigned to an approved buyer within 3 months. During the period prior to the assignment, the business must be run by a trained manager. This assignment is also subject to Hydrodog's right of first refusal.
