Is receipt of the Initial Tools Package a condition of opening my HydroDog business?

an 9-months after receipt of the previous HydroDog Vehicle.
You may not open your HydroDog Business for business until: (1) we approve your HydroDog Business as developed according to our specifications and standards; (2) training has been completed to our satisfaction; (3) the Franchise Fee has been paid to us, subject to state law; (4) the HydroDog Vehicle has been acquired; (5) the Initial Tools Package has been received; (6) we have approved the managers of your HydroDog Business if you are a Business Entity, and you have demonstrated to our satisfaction that the pre-opening conditions of the Franchise Agreement have been met; (7) we have been furnished with copies of all required insurance policies, or such other evidence of insurance coverage and payment of premiums we request; (8) we have received signed counterparts of all required documents pertaining to your acquisition of the HydroDog Vehicle. (Franchise Agreement, Section 5.8) You obtain our approval for and open your HydroDog Business within 30 days after receipt of your HydroDog Vehicle, unless there are unforeseen circumstances or factors beyond your control, in which case an extension may be granted at our discretion. (Franchise Agreement, Section 5.1) We may terminate the Franchise Agreement if you fail to open in the time required, unless an extension has been granted. (Franchise Agreement, Section 16.2)
Post-Opening Obligations: During your operation of your HydroDog Business, we will:
- Advise you from time to time regarding the operation of your HydroDog Business based on reports you submit or inspections we make.

What This Means (2025 FDD)
According to Hydrodog's 2025 Franchise Disclosure Document, receiving the Initial Tools Package is a condition that must be met before opening your HydroDog business. Specifically, you may not open your HydroDog Business until the Initial Tools Package has been received. HydroDog will sell and deliver the items in your Initial Tools Package which will contain the equipment, inventory, and materials needed, minus your truck, to start your HydroDog Business. Currently, HydroDog is the only Approved Supplier of the Initial Tools Package.
In addition to receiving the Initial Tools Package, there are several other conditions that must be met before opening. These include HydroDog's approval of your business as developed according to their specifications, completion of training to their satisfaction, payment of the Franchise Fee, and acquisition of the HydroDog Vehicle. If you are a Business Entity, HydroDog must approve your managers. You must also demonstrate that all pre-opening conditions of the Franchise Agreement have been met, furnish copies of all required insurance policies, and provide signed counterparts of all required documents pertaining to your acquisition of the HydroDog Vehicle.
Furthermore, you must obtain HydroDog's approval and open your business within 30 days after receiving your HydroDog Vehicle. Extensions may be granted at HydroDog's discretion if there are unforeseen circumstances or factors beyond your control. Failure to open within the required time, without an approved extension, may result in the termination of the Franchise Agreement.
