nd our affiliates possess (and will continue to develop and acquire) certain confidential information (the "Confidential Information") relating to the development and operation of the HydroDog Businesses, which includes (without limitation):
- (a) methods, formats, specifications, standards, systems, procedures, sales and marketing techniques, knowledge and experience used in developing and operating your HydroDog Business (including, without limitation, the System Standards);
- (b) market research and promotional, marketing and advertising programs for your HydroDog Business;
- (c) client communication programs, along with data used or generated in connection with those programs;
- (d) the System and the know-how related to its use;
- (e) plans, specifications, size and physical characteristics of the HydroDog Businesses, HydroDog Vehicles;
- (f) Territory selection criteria;
- (g) design of equipment, furniture, forms, materials and supplies;
- (h) training for the HydroDog Businesses;
- (i) methods, techniques, formats, specifications, procedures, information and systems related to and knowledge of and experience in the development, operation and franchising of the HydroDog Businesses;
- (j) knowledge of specifications for certain Products and Supplies and suppliers of certain Products and Supplies;
- (k) pet grooming techniques, products and services;
- (l) the Client Database (as described in Section 9.5 below); and
- (m) knowledge of operating results and financial performance of the HydroDog Businesses other than those operated by you (or your affiliates).

What This Means (2025 FDD)
According to the 2025 Hydrodog Franchise Disclosure Document, several methods and formats are considered confidential information. These include the methods, formats, specifications, standards, systems, procedures, sales and marketing techniques, knowledge, and experience used in developing and operating a Hydrodog business, including the System Standards. Also considered confidential are market research, promotional, marketing and advertising programs, client communication programs, data used or generated in connection with those programs, the System and know-how related to its use, and the plans, specifications, size, and physical characteristics of the Hydrodog Businesses and Vehicles. Territory selection criteria, design of equipment, furniture, forms, materials and supplies, and training for the Hydrodog Businesses are also confidential.
Confidential information also encompasses methods, techniques, formats, specifications, procedures, information and systems related to the development, operation, and franchising of Hydrodog Businesses, knowledge of specifications for certain Products and Supplies and their suppliers, pet grooming techniques, products, and services, and the Client Database. Knowledge of operating results and financial performance of Hydrodog Businesses not operated by the franchisee or their affiliates is also deemed confidential. Furthermore, any form of the manuals accessible online is proprietary information and considered confidential.
Hydrodog franchisees acknowledge that they do not acquire any interest in the confidential information, other than the right to use it during the agreement term. They are restricted from using this information in any other business or capacity and must keep it strictly confidential during and after the agreement term. Franchisees are also prohibited from making unauthorized copies of confidential information disclosed via electronic medium or in written or other tangible form. Franchisees must implement reasonable procedures to prevent unauthorized use or disclosure, including restricting disclosure to necessary personnel and requiring confidentiality agreements from employees and independent contractors. These measures ensure the protection of Hydrodog's proprietary information and trade secrets.
