If I sign a Hydrodog franchise agreement, will I also be required to sign a Confidentiality, Non-Solicitation and Non-Competition Agreement?

of your Franchise Agreement; and (v) hold at least 20% ownership interest of the Business Entity.
We require your owners, Business Managers and any of your employees, independent contractors, agents, or representatives who may have access to our confidential information to sign Confidentiality and Non-Solicitation and Non-Competition Agreements with you that lists us as a third-party entity in the form attached to this disclosure document as Exhibit "F." We require you to designate one of your owners as having authority to deal with us and to bind you to obligations with us. We have the right to communicate with and deal with that owner without having to simultaneously contact and obtain approval from each of your owners.
If you are a Business Entity, your owners must not only personally guarantee your obligations under the Franchise Agreement, but also agree to be personally bound by, and personally liable for the breach of, every provision of the Franchise Agreement. This includes both monetary obligations and obligations to take or refrain from taking specific actions or to engage or refrain from engaging in specific activities. The form of "Principal Owner's Guaranty" is attached as Exhibit "B" to the Franchise Agreement. We require you to complete a "Principal Owner's Statement" in the form attached as Exhibit "D," which describes all of your owners and their interests in you. You are required to identify one of your owners as having authority to communicate with us and enter into agreements with us on your behalf. We do not require the spouses of any owners to sign a Principal Owner's Guaranty.
ITEM 16 RESTRICTIONS ON WHAT THE FRANCHISEE MAY SELL
You must offer for sale all products, and perform all services, that we require from time to time for HydroDog Businesses. We reserve the sole right to decide if any supplier, vendor or item is authorized and reserve the right to disapprove or refuse to approve any supplier, vendor or item.

What This Means (2025 FDD)
According to Hydrodog's 2025 Franchise Disclosure Document, as a franchisee, you will be required to ensure that certain individuals sign a Confidentiality and Non-Solicitation and Non-Competition Agreement. Specifically, any General Manager and, if you are an entity, any officer (regardless of equity ownership) must sign this agreement as a condition of their employment or appointment. Additionally, all of your employees, independent contractors, agents, or representatives who may have access to Hydrodog's confidential information must sign a standard confidentiality agreement, regardless of whether they have already signed a Confidentiality and Non-Solicitation and Non-Competition Agreement.
Hydrodog also requires your owners, Business Managers, and any employees, independent contractors, agents, or representatives who may have access to their confidential information to sign Confidentiality and Non-Solicitation and Non-Competition Agreements that list Hydrodog as a third-party entity. The form for this agreement is attached to the disclosure document as Exhibit "F". Hydrodog retains the right to communicate directly with and bind one designated owner without needing approval from all owners.
Furthermore, as part of the franchise agreement, you agree to maintain the absolute confidentiality of Hydrodog's Confidential Information during and after the term of the agreement. You are prohibited from using this information in any other business or capacity and must comply with all procedures prescribed by Hydrodog to prevent unauthorized use or disclosure of the confidential information. This includes not making unauthorized copies of any portion of the Confidential Information disclosed in written form.
