| BACKGROUND INFORMATION: | |

| (the "Business"). HydroDog | |

| use certain proprietary knowledge, | |
| procedures, formats, systems, forms, printed materials, applications, methods, specifications, standards and | |
| techniques authorized or developed by us (collectively the "System"). We identify HydroDog | |
| Businesses | |
| and various components of the System by certain trademarks, trade names, service marks, trade dress and | |
| other commercial symbols (collectively the "Marks"). In order to protect our interest in the System and the | |
| Marks, we will have the right to control the telephone numbers and listings of the Business | |

- Background Information. The background information is true and correct. This Assignment will be interpreted in conjunction with the background information and the Franchise Agreement. Capitalized terms not otherwise defined in this Assignment will have the meanings ascribed to them in the Franchise Agreement.

- Conditional Assignment. You assign to us, all of your right, title and interest in and to those certain telephone numbers and regular, classified or other telephone directory listings (collectively, the "Numbers and Listings") associated with the Marks and used from time to time in connection with the operation of the Business. We will have no liability or obligation of any kind whatsoever arising from or in connection with this Assignment, unless we notify the telephone company and/or the listing agencies with which you have placed telephone directory listings (collectively, the "Telephone Company") to effectuate the assignment of the Numbers and Listings to us. Upon termination or expiration of the Franchise Agreement we will have the right and authority to ownership of the Numbers and Listings.

What This Means (2025 FDD)
According to the 2025 Hydrodog Franchise Disclosure Document, as part of the franchise agreement, you will be required to sign a Conditional Assignment of Telephone Numbers and Listings. This assignment ensures that Hydrodog retains control over the telephone numbers and listings associated with the business, protecting their interest in the System and Marks. The agreement is between Legacy Franchisors, LLC and the franchisee. The document states that HydroDog Businesses use proprietary knowledge, procedures, formats, systems, forms, printed materials, applications, methods, specifications, standards and techniques authorized or developed by Hydrodog. HydroDog also identifies HydroDog Businesses and various components of the System by certain trademarks, trade names, service marks, trade dress and other commercial symbols.
The Conditional Assignment means that you assign all rights, titles, and interests in the telephone numbers and directory listings associated with the Hydrodog Marks to the franchisor. Hydrodog will not have any obligations related to this assignment until they notify the phone company to effectuate the assignment. Upon termination or expiration of the franchise agreement, Hydrodog will have the right and authority to ownership of the Numbers and Listings.
This assignment becomes effective upon the termination or expiration of the Franchise Agreement. At that time, you must notify the telephone company and directory publishers of the termination of your right to use the phone numbers and listings, authorize the transfer of such numbers and listings to Hydrodog, and instruct the phone company to forward all calls to numbers Hydrodog specifies. You must also provide Hydrodog with evidence of your compliance with these obligations within 30 days of the agreement's expiration or termination.
Hydrodog is also appointed as the franchisee's attorney-in-fact to direct the Telephone Company to effectuate the assignment of the Numbers and Listings to Hydrodog and sign on the franchisee's behalf such documents and take such actions as may be necessary to effectuate the assignment. This ensures a smooth transition of control over these assets back to Hydrodog, maintaining brand consistency and customer access to the business. The franchisee remains liable to the Telephone Company for all past due fees owing to the Telephone Company on or before the date on which the assignment is effective.
