What This Means (2025 FDD)
According to Hydrodog's 2025 Franchise Disclosure Document, franchisees are explicitly prohibited from replicating Confidential Information in any form, including intangible forms. The franchise agreement states that franchisees cannot disclose, leak, divulge, disseminate, reveal, make available, replicate, or duplicate Confidential Information in any form, whether tangible or intangible, to any other person or entity. This restriction applies both directly and indirectly, and the information can only be used while working with Hydrodog under the Franchise Agreement.
Hydrodog franchisees must exercise the highest degree of care to protect the confidentiality of the Confidential Information. This includes not making any copies of the Confidential Information, whether printed or in an intangible form. Franchisees are also required to follow all reasonable procedures prescribed by Hydrodog to prevent unauthorized use or disclosure of the Confidential Information.
The FDD emphasizes that any unauthorized use or duplication of Confidential Information in another business constitutes an unfair method of competition. This underscores the importance Hydrodog places on protecting its proprietary information and maintaining a competitive edge. The definition of Confidential Information includes methods, formats, systems, procedures, sales and marketing techniques, market research, client communication programs, the System itself, plans, specifications, equipment design, training materials, and knowledge of operating results.
