To protect our reputation and goodwill and to maintain high standards of operation under the System, you must operate the HydroDog Business in strict conformance with our System standards, including the methods, standards, and specifications we prescribe from time to time in the Manual or otherwise in writing. The System standards may relate to any aspect of the appearance, function, cleanliness, and operation of the HydroDog Business.

You must purchase the products, supplies, equipment, and services that you use or sell in the HydroDog Business in accordance with our specifications and quality standards and, if applicable, only from suppliers we have designated or approved (which may include us or our affiliates). You will at all times maintain a complete inventory of approved items and supplies necessary for operating your HydroDog Business and providing services to customers.

To determine whether you and your HydroDog Business are complying with this Agreement and all System Standards, we and our designated agents have the exclusive right at any time during your regular business hours, and with or without prior notice to you:

  • (a) enter your HydroDog Business and/or the HydroDog Vehicle and have unlimited and unrestricted access to inspect your HydroDog Business and/or HydroDog Vehicle;
  • (b) observe, photograph and videotape the operations of your HydroDog Business for such consecutive or intermittent periods as we deem necessary;
    • (c) remove samples of any products, materials or supplies for testing and analysis;
    • (d) interview personnel and customers of your HydroDog Business; and
  • (e) inspect and copy any books, records, websites (or other forms of e-commerce) and documents relating to your operation of your HydroDog Business.

You are required to use and adhere to all of the rules and regulations, specifications and System Standards for the Computer System, mapping, business management, Purchase Order System, scheduling, cost control, and accounting system we designate from time-to-time (collectively, the "Business Management System").

You are obligated to comply with all modifications to System Standards, other than capital modifications, within the time period we specify.

You agree to follow the standards, specifications and operating procedures we establish periodically for the HydroDog System that are described in the Manuals.

You also must comply with all updates and amendments to the HydroDog System as described in newsletters or notices we distribute, including via Computer System or other media we select).

The Manuals may be modified or updated and revised periodically to reflect changes in System Standards.

You are responsible for routinely monitoring any on-line version (or electronic format) of the Manuals for changes to them.

If we make the Manuals accessible to you in read-only format and/or on-line (or electronic format), we will not send to you printed copies of any changes to them.

However, any form of the Manuals accessible to you on-line is our proprietary information and will be deemed Confidential Information for purposes of this Agreement.

What This Means (2025 FDD)

According to Hydrodog's 2025 Franchise Disclosure Document, franchisees must operate their HydroDog Business in strict conformance with Hydrodog's System Standards. These standards include the methods, standards, and specifications prescribed in the Manual or in writing, and may relate to the appearance, function, cleanliness, and operation of the HydroDog Business. Franchisees are also obligated to purchase products, supplies, equipment, and services according to Hydrodog's specifications and quality standards, potentially only from designated or approved suppliers. To ensure compliance with the Franchise Agreement and System Standards, Hydrodog retains the right to inspect and audit the HydroDog Business. They can observe, photograph, and videotape operations, remove samples for testing, interview personnel and customers, and inspect and copy books, records, websites, and other documents related to the business's operation.

Hydrodog also requires franchisees to use and adhere to all rules, regulations, specifications, and System Standards for the designated Business Management System, including any Computer System, mapping, Purchase Order System, scheduling, cost control, and accounting system. Franchisees must also comply with all modifications to System Standards, other than capital modifications, within the specified time period. These measures enable Hydrodog to maintain uniformity and quality across all franchise locations, protecting the brand's reputation and goodwill.

The franchisee is responsible for routinely monitoring any online version (or electronic format) of the Manuals for changes to them. If Hydrodog makes the Manuals accessible to the franchisee in read-only format and/or online (or electronic format), Hydrodog will not send to the franchisee printed copies of any changes to them. However, any form of the Manuals accessible to the franchisee online is Hydrodog's proprietary information and will be deemed Confidential Information for purposes of the Franchise Agreement.
