- Confidential Information You will not acquire any interest in the Confidential Information.
The use or duplication of any Confidential Information in any other business will constitute an unfair method of competition.
You will not disclose, leak, divulge, disseminate, reveal, make available, replicate, duplicate (in any form, tangible or intangible) or otherwise communicate all or any portion of the Confidential Information to any other person or entity, or use it for any purpose other than while you are working with us at the Business under a Franchise Agreement with Franchisor, either directly or indirectly.
You will use the highest degree of care to safeguard the confidentiality of the Confidential Information and not make any copies of the Confidential Information (printed or an intangible form).
You will follow all reasonable procedures we or the Franchisor may prescribe from time to time to prevent unauthorized use or disclosure of the Confidential Information (collectively, the "Confidentiality Obligations").

What This Means (2025 FDD)
According to Hydrodog's 2025 Franchise Disclosure Document, franchisees are explicitly prohibited from acquiring any ownership interest in the company's Confidential Information. The FDD clarifies that the only right a franchisee has is to use certain Confidential Information to operate their Hydrodog business during the term of the Franchise Agreement, and even that use is subject to the terms and conditions outlined in the agreement. Any unauthorized use of the Confidential Information is considered an unfair method of competition.
Hydrodog defines Confidential Information broadly, encompassing various aspects of the business, including methods, formats, systems, marketing techniques, market research, client communication programs, the System itself, physical characteristics of HydroDog Businesses and Vehicles, territory selection criteria, design of equipment, training methods, knowledge of product specifications and suppliers, pet grooming techniques, and client databases. This information is considered proprietary and includes Hydrodog's trade secrets.
The Franchise Agreement emphasizes that the Confidential Information is disclosed to the franchisee with the strict condition that the franchisee, their owners, managers, employees, and independent contractors agree to maintain its confidentiality. This includes not using the Confidential Information in any other business or capacity and keeping it strictly confidential both during and after the term of the Franchise Agreement. Franchisees are also prohibited from making unauthorized copies of the Confidential Information, whether in electronic or written form, and must implement procedures to prevent unauthorized use or disclosure.
Hydrodog also requires franchisees to disclose any ideas, techniques, services, or products they develop concerning the operation of their Hydrodog Business. The franchisee must grant Hydrodog a perpetual, irrevocable, royalty-free, non-exclusive, transferable, and worldwide right to use, modify, exploit, and sublicense these developments. This ensures that Hydrodog retains control over innovations within the franchise system and can incorporate them into the System Standards for the benefit of all franchisees.
