What This Means (2025 FDD)

According to Hydrodog's 2025 Franchise Disclosure Document, the franchise agreement does not require Hydrodog to consider the franchisee's individual business interests when making decisions under 'Reasonable Business Judgment'. Instead, Hydrodog's 'Reasonable Business Judgment' is defined as decisions made with the intention of benefitting the Hydrodog system as a whole. This includes enhancing the value of the Hydrodog marks, increasing customer satisfaction, minimizing customer confusion, determining operating territory markets, expanding brand awareness, and implementing marketing and accounting control systems.

Hydrodog retains broad discretion in making decisions that could impact individual franchisees. The definition explicitly states that Hydrodog aims to benefit the overall system, not necessarily the individual franchisee's specific interests. This means that Hydrodog can make decisions that may negatively affect a particular franchisee if it believes those decisions will benefit the entire Hydrodog system.

This approach is typical in franchising, where the franchisor must balance the needs of individual franchisees with the overall health and consistency of the brand. However, it's crucial for prospective franchisees to understand that Hydrodog's decisions will prioritize the system's interests, potentially at the expense of an individual franchisee's business interests. Franchisees should carefully evaluate whether they are comfortable with this level of franchisor control and potential impact on their business.

Prospective franchisees should seek clarification from Hydrodog regarding specific examples of how 'Reasonable Business Judgment' has been applied in the past and how potential conflicts between the system's interests and individual franchisee interests are typically resolved. Understanding Hydrodog's approach to these situations is essential for making an informed investment decision.
