Company to effectuate the assignment of the Numbers and Listings to us; and (b) sign on your behalf such documents and take such actions as may be necessary to effectuate the assignment. Notwithstanding anything else in the Assignment, however, you will immediately notify and instruct the Telephone Company to effectuate the assignment described in this Assignment to us when, and only when: (i) the Franchise Agreement is terminated or expires; and (ii) we instruct you to so notify the Telephone Company. If you fail to promptly direct the Telephone Company to effectuate the assignment of the Numbers and Listings to us, we will direct the Telephone Company to do so. The Telephone Company may accept our written direction, the Franchise Agreement or this Assignment as conclusive proof of our exclusive rights in and to the Numbers and Listings upon such termination or expiration. The assignment will become immediately and automatically effective upon Telephone Company's receipt of

such notice from you or us. If the Telephone Company requires that you and/or we sign the Telephone Company's assignment forms or other documentation at the time of termination or expiration of the Franchise Agreement, our signature On such forms or documentation on your behalf will effectuate your consent and agreement to the assignment.

What This Means (2025 FDD)

According to the 2025 Hydrodog Franchise Disclosure Document, the assignment of telephone numbers and listings from the franchisee to Hydrodog becomes immediately and automatically effective once the Telephone Company (defined as the telephone company and/or the listing agencies with which you have placed telephone directory listings) receives notice from either the franchisee or Hydrodog. This transfer occurs upon the termination or expiration of the Franchise Agreement.

Hydrodog retains the right to directly instruct the Telephone Company to effect the assignment if the franchisee fails to do so promptly. The Telephone Company may accept Hydrodog's written direction, the Franchise Agreement, or the Assignment document itself as conclusive proof of Hydrodog's exclusive rights to the numbers and listings after termination or expiration.

If the Telephone Company requires signatures on assignment forms or other documentation at the time of termination or expiration, Hydrodog's signature on behalf of the franchisee will serve as the franchisee's consent and agreement to the assignment. Both parties agree to perform necessary actions and sign documents to facilitate the assignment upon termination or expiration of the Franchise Agreement. The power of attorney granted to Hydrodog for this purpose is coupled with an interest and cannot be revoked without Hydrodog's consent.

This arrangement ensures that Hydrodog maintains control over the telephone numbers and listings associated with the Hydrodog business, protecting its brand identity and goodwill even after a franchise agreement ends. The franchisee is also obligated to indemnify Hydrodog against any losses or liabilities arising from breaches related to agreements or debts with the Telephone Company.
