Subject to applicable law, upon termination or expiration of this Agreement for any reason whatsoever (and you have not acquired a Successor Franchise), you and your owners agree that for a period of two (2) years commencing on the effective date of termination or expiration neither you nor any of your owners will have any direct or indirect interest (e.g. through a spouse or child) as a disclosed or beneficial owner, investor, partner, director, officer, employee, consultant, member, Manager, representative or agent or in any other capacity in any Competitive Business operating:

  • (a) within the Territory;

According to Hydrodog's 2025 Franchise Disclosure Document, if a franchisee's agreement terminates and they do not acquire a successor franchise, both the franchisee and their owners are subject to competitive restrictions for two years. These restrictions prevent them from having any direct or indirect interest in a Competitive Business operating within the franchisee's original Territory.

The term "Competitive Business" is broadly defined as any business involved in pet grooming, pet care, or pet-related products and services that compete with Hydrodog, excluding other Hydrodog franchises. This includes mobile, fixed, internet-based, or catalog-based businesses. Hydrodog also retains the discretion to determine what constitutes a competitive business.

This means that after the franchise agreement ends, a former Hydrodog franchisee cannot operate or be involved with a similar pet-related business within the geographic area of their former Territory for a period of two years. This restriction is designed to protect Hydrodog's market share and brand reputation within that Territory. The franchisee is also prevented from using Hydrodog's confidential information in any business after termination of the agreement.
