What This Means (2025 FDD)

According to Hydrodog's 2025 Franchise Disclosure Document, franchisees have specific 'Confidentiality Obligations' that they must adhere to. A violation occurs if a franchisee acquires any personal interest in the confidential information beyond the scope of operating their Hydrodog business under the Franchise Agreement. The use or duplication of any confidential information in any other business is explicitly considered an unfair method of competition.

Specifically, franchisees are prohibited from disclosing, leaking, divulging, disseminating, revealing, making available, replicating, duplicating, or otherwise communicating any portion of the confidential information to any other person or entity. They also cannot use the confidential information for any purpose outside of their work with Hydrodog under the Franchise Agreement. Franchisees must exercise a high degree of care to protect the confidentiality of the information and avoid making unauthorized copies.

To ensure compliance, Hydrodog franchisees must follow all reasonable procedures prescribed by Hydrodog to prevent unauthorized use or disclosure of confidential information. These procedures may include restricting disclosure to necessary personnel and requiring employees and independent contractors to sign confidentiality and non-competition agreements. Hydrodog retains the right to regulate the form of these agreements and act as a third-party beneficiary with independent enforcement rights.
