What This Means (2025 FDD)
According to Healthsource Chiropractic's 2025 Franchise Disclosure Document, Healthsource Chiropractic may require franchisees to sign a Service Agreement with Healthsource Chiropractic or a third-party Service Provider. This agreement outlines requirements related to the installation, licensure, and usage of products or services, as well as payments, taxes, liability, indemnification, confidential information, proprietary rights, suspension or termination of services, assignment of rights, governing law, jurisdiction, pricing, and supplemental products and services.
The Service Agreement is deemed appropriate by Healthsource Chiropractic, and franchisees must sign it either upon signing the Franchise Agreement or promptly after receiving notice from Healthsource Chiropractic. The terms and conditions of the Service Agreement are incorporated by reference into the Franchise Agreement as "Additional Terms and Conditions," and a copy of the Service Agreement will be attached to the Franchise Agreement as Exhibit 4.
This requirement allows Healthsource Chiropractic to maintain control over the standards and quality of services provided by its franchisees, particularly concerning the Computer System and related software. It also ensures that franchisees are bound by specific terms and conditions set by Healthsource Chiropractic or its designated service providers, which may include obligations related to payments, liability, and confidentiality. Prospective franchisees should carefully review the terms of any required Service Agreement and understand their obligations before signing the Franchise Agreement.
