What This Means (2025 FDD)
According to the 2025 Healthsource Chiropractic Franchise Disclosure Document, the "Additional Terms and Conditions" refer to the terms and conditions outlined in the Service Agreement that a franchisee may be required to sign with Healthsource Chiropractic or a third-party service provider. These terms are incorporated into the franchise agreement by reference. A copy of the Service Agreement should be attached to the Franchise Agreement as Exhibit 4.
The Service Agreement covers various aspects, including the installation, licensure, and usage of products or services, as well as payment terms, taxes, liability, indemnification, confidentiality, proprietary rights, and potential suspension or termination of services. It also addresses the assignment of rights, delegation of duties, governing law, jurisdiction, pricing, and supplemental products and services available to Healthsource Chiropractic Clinic franchisees.
Prospective franchisees should carefully review Exhibit 4, the Service Agreement, to fully understand their obligations and the services they will receive. Understanding the "Additional Terms and Conditions" is crucial, as they dictate the relationship between the franchisee, Healthsource Chiropractic, and any third-party service providers involved in the operation of the franchise. Franchisees should pay close attention to the sections regarding liability, indemnification, and termination, as these can significantly impact their business.
