    1. Review and approve or disapprove any advertising that you propose to use for your Clinic (Franchise Agreement – Section 11.2). Our actual or deemed approval will not mean that we have analyzed or approved any advertising materials with respect to any state, local or administrative law, rule or regulation that may be applicable to a franchise's practice of chiropractic in its State of licensure. Advertising on the internet or having your own website online is restricted by your Franchise Agreement.

We may require you to use a website controlled by us and to require you to use search engine optimization services. In the event we establish a website, or series of websites, for our Systems and Clinic franchises, you agree to give us information and materials that we may periodically request concerning your Clinic franchise, and to otherwise participate in the System website in the manner that we may require. If we establish a System website, all advertising and promotional materials that you develop for your Clinic franchise must contain the URL of the System website in the manner that we may designate.

You may develop, at your cost, advertising and promotional materials for your own use, but may not use them until after we have approved them in writing. You must submit to us for our approval samples of all advertising and promotional materials not prepared or previously approved by us that you wish to use. We will not unreasonably withhold our approval. If we do not disapprove any materials submitted to us within 15 days of receiving them, they will be deemed approved. Our actual or deemed approval will not mean that we have analyzed or approved any such materials with respect to any state, local or administrative law, rule or regulation that may be applicable to a franchise's practice of chiropractic in its State of licensure. In addition to any Advertising Fees for an Ad Fund (see below) and the Technology Fee, each HealthSource Chiropractic Clinic must spend, at a minimum each month, the greater of $3,000 or 5% of its gross revenues for local advertising, promotion, and marketing. Your 60-day marketing plan expenditures (see Item 7) and telephone and internet directory advertising expenditures (see below) count towards this requirement.

What This Means (2025 FDD)

According to the 2025 Healthsource Chiropractic FDD, there are restrictions on advertising on the internet or having your own website. Specifically, Item 11 states that "Advertising on the internet or having your own website online is restricted by your Franchise Agreement." This means that franchisees cannot freely advertise online or create their own websites without adhering to specific guidelines set by Healthsource Chiropractic.

Healthsource Chiropractic may require franchisees to use a website controlled by them and to utilize search engine optimization services as they specify. If Healthsource Chiropractic establishes a website for its System and Clinic franchises, franchisees must provide requested information and materials about their Clinic franchise and participate in the System website as required. All advertising and promotional materials developed by franchisees must include the URL of the System website in a designated manner.

Furthermore, franchisees can develop their own advertising and promotional materials, but they must receive written approval from Healthsource Chiropractic before use. Franchisees must submit samples of all advertising and promotional materials not previously approved, and Healthsource Chiropractic will not unreasonably withhold approval. If Healthsource Chiropractic does not disapprove the submitted materials within 15 days of receipt, they are deemed approved. However, this approval does not mean that Healthsource Chiropractic has analyzed or approved the materials with respect to any state, local, or administrative laws applicable to the practice of chiropractic in the franchisee's state of licensure.

In addition to any Advertising Fees for an Ad Fund and the Technology Fee, each Healthsource Chiropractic Clinic must spend a minimum of the greater of $3,000 or 5% of its gross revenues each month on local advertising, promotion, and marketing. Expenditures for the 60-day marketing plan and telephone and internet directory advertising count towards this requirement. Healthsource Chiropractic may also require franchisees to list and advertise their franchise in professional trade association directories and internet-based directories, using the franchisor's standard forms of listing and classified directory advertisements.
