  1. TAXES. Customer will pay or reimburse HealthCore for all sales, use, transfer, privilege, excise and all other taxes and all duties, whether international, national, state or local, however designated, which are levied or imposed by reason of the performance by HealthCore under this Agreement, excluding, however, income taxes on profits which may be levied against HealthCore. Such taxes may be

reflected on customer invoices. In the event any such tax Customer is liable to pay or reimburse is not initially assessed but subsequently required to be paid by a taxing authority, Customer will reimburse HealthCore for all such taxes payable, but not any penalties or interest thereon that may be assessed.
