What This Means (2025 FDD)

According to the 2025 Healthsource Chiropractic Franchise Disclosure Document, the rights and remedies explicitly outlined in the franchise agreement do not exclude either the franchisee or Healthsource Chiropractic from pursuing other rights or remedies available under the agreement, or as permitted by law or equity. This means that in addition to the rights and remedies detailed in the agreement, both parties can also exercise any other legal rights or remedies they may have.

This clause ensures that neither Healthsource Chiropractic nor the franchisee is limited to only the remedies specified in the agreement. For example, if a franchisee breaches the agreement, Healthsource Chiropractic can pursue remedies detailed in the agreement, as well as any other legal options available, such as seeking an injunction or specific performance. Similarly, if Healthsource Chiropractic breaches the agreement, the franchisee is not limited to only the remedies listed in the agreement and can pursue other legal avenues.

This is a fairly standard clause in franchise agreements, designed to protect both parties and ensure that all available legal options remain open in the event of a dispute. It provides flexibility and ensures that neither party is unduly restricted in seeking resolution to any issues that may arise during the franchise term. Prospective franchisees should understand that while the agreement outlines specific rights and remedies, these are not the only options available, and they should consult with legal counsel to fully understand their rights under the law.
