, in the event there are any changes to the Professional Laws (including any new Professional Laws) that would cause your operation of the Franchise to be in violation of the Professional Laws, you will immediately inform us of the change and your proposed method to comply with the Professional Laws, including entering into a Management Agreement, if necessary.
10.7 Management and Personnel of the Franchise
- a. Unless we approve your employment of a General Manager to operate the Franchise as provided in Paragraph 4, you must actively participate in the actual, on-site, day-today operation of the Franchise, and devote as much of your time as is reasonably necessary for the efficient operation of the Franchise. If you are not an individual, then at least one (1) Principal Owner, director, officer, or other employee of you whom we approve must comply with this requirement. If we agree that you may employ a General Manager, then the General Manager must fulfill this requirement.
- b. Any General Manager must obtain all licenses and certifications required by law before assuming his or her responsibilities at the Franchise.
- c. You must ensure that your employees and independent contractors of the Franchise have any licenses as may be required by law, and hold or are pursuing any licenses, certifications, and/or degrees required by law or by us in the Operations Manual, as updated from time to time.

According to Healthsource Chiropractic's 2025 Franchise Disclosure Document, the franchisee is primarily responsible for the day-to-day operations of the franchised business. Unless Healthsource Chiropractic approves the employment of a General Manager, the franchisee must actively participate in the on-site, daily operation of the franchise, dedicating sufficient time for its efficient functioning. If the franchisee is a corporation or other legal entity, at least one principal owner, director, officer, or approved employee must fulfill this requirement.
If Healthsource Chiropractic agrees to the employment of a General Manager, the General Manager must meet this requirement. Any General Manager must obtain all legally required licenses and certifications before assuming their responsibilities at the franchise. The franchisee is responsible for ensuring that all employees and independent contractors possess the necessary licenses as required by law or specified in the Operations Manual.
The franchisee has exclusive responsibility for the terms of employment, compensation, training, hiring, retention, and firing decisions related to their employees and independent contractors. The franchisee must clearly communicate to all employees that they are employed by the franchisee, and not by Healthsource Chiropractic. While the Operations Manual outlines Healthsource Chiropractic's standards, the franchisee determines the specific procedures to implement those standards.
