What does Healthsource Chiropractic provide to a potential franchisee under the standard franchise agreement?

According to the 2025 Healthsource Chiropractic Franchise Disclosure Document, Healthsource Chiropractic offers a potential franchisee a specific territory, training, operating manuals, software, and marketing materials under the terms of their standard chiropractic franchise agreement.

Healthsource Chiropractic grants the franchisee the right to operate a HealthSource Chiropractic Clinic for an initial term of 10 years, offering all of their products, services, and proprietary programs. The franchisee must operate the franchise at a mutually agreeable site and use the Healthsource Chiropractic system and marks. The agreement also specifies that Healthsource Chiropractic will not operate or grant a franchise for another clinic within the Protected Territory outlined in Exhibit 1, provided the franchisee is in full compliance with the agreement.

Healthsource Chiropractic also continually reviews and analyzes developments relative to the System and may make changes, including adding new components to services and products offered and equipment used by Clinic franchises. Changes in laws may require Healthsource Chiropractic to restructure their franchise program, require the franchisee's General Manager and employees to obtain additional licenses or certifications, require the franchisee to retain or establish relationships with additional professionals, and/or require the franchisee to modify their ownership or organizational structure. The franchisee agrees to modify the operation of the Franchise to comply with all such changes and to be solely responsible for all related costs.

Healthsource Chiropractic will perform its obligations under the agreement only if the franchisee is in full compliance with all duties and obligations to Healthsource Chiropractic under the agreement and the Operations Manual. If the franchisee is not in compliance, Healthsource Chiropractic may deny access to the website or Intranet, remove the franchise from the locator page, remove the franchise from the list of businesses to which inquiries are referred, remove the franchise from the list of businesses entitled to discounts from approved vendors, and/or remove the franchise from the list of businesses approved to participate in national or other alliance programs.
