Answer from 2025 FDD Document

Through the expenditure of considerable time, effort and money, we and our affiliates have devised a system for the establishment and operation of a HealthSource Chiropractic business model that specializes in "progressive rehabilitation," by offering physical therapy and chiropractic services together as a comprehensive solution for pain relief, restoration of function, wellness care and other related services and products (all of which we refer to in this Agreement as the "System"). The System includes procedures, specifications, techniques and procedures that we may designate for operating a chiropractic business. This business model includes a clinic model offering all of our franchised services and products (individually, a "Clinic" or "Clinic," and collectively, the "Clinics" or "Clinics"). Subject to an additional fee, we also offer additional programs, products and services as more fully described herein, which additional programs,

products and services may change from time to time. We identify the System by the use of certain trademarks, service marks and other commercial symbols, including the marks "HealthSource Chiropractic," "HS," and "America's Chiropractor" and certain associated designs, artwork and logos, which we may change or add to from time to time (the "Marks").

What This Means (2025 FDD)

According to the 2025 Healthsource Chiropractic Franchise Disclosure Document, the system is identified using specific trademarks, service marks, and commercial symbols. These marks include "HealthSource Chiropractic," "HS," and "America's Chiropractor," along with associated designs, artwork, and logos. Healthsource Chiropractic retains the right to modify or add to these marks over time.

For a prospective franchisee, understanding the permitted use of these marks is crucial. The franchise agreement stipulates that franchisees can only use the marks to operate their franchise in compliance with Healthsource Chiropractic's standards and procedures. Unauthorized use of these marks can lead to a breach of the agreement and infringement of Healthsource Chiropractic's rights.

Healthsource Chiropractic emphasizes that it has invested significantly in promoting and protecting its marks. However, the FDD also acknowledges the inherent difficulties in establishing and defending rights to intangible property like trademarks. Changes in the market, economic conditions, or third-party challenges could necessitate alterations to the marks. Franchisees are obligated to adopt any such changes at their own expense, without reimbursement from Healthsource Chiropractic for any resulting losses or expenses.

This aspect of the franchise agreement highlights the importance of staying aligned with Healthsource Chiropractic's branding and marketing strategies. While franchisees benefit from using established trademarks, they also bear the risk of needing to adapt to changes in those marks, potentially incurring costs in the process.
