What happens if a Healthsource Chiropractic franchisee prepares an adaptation of the copyrighted works?

This Agreement does not confer any interest in the Copyrighted Works to you, other than the right to use them in the operation of the Franchised Business in compliance with this Agreement and the System.
If we authorize you to prepare any adaptation, translation or work derived from the Copyrighted Works, or if you prepare any Copyrighted Works such as advertisements, manuals, posters, forms, or marketing or promotional material (all of which shall be subject to and in compliance with this Agreement), you agree that such adaptation, translation, derivative work, or Copyrighted Work shall be the sole and exclusive property of us and you hereby assign all your right, title, and interest therein to us.
You further agree to execute any documents that we determine are necessary to reflect such ownership and to submit all such adaptations, translations, derivative works and Copyrighted Works to us for prior written approval before use.

What This Means (2025 FDD)
According to Healthsource Chiropractic's 2025 Franchise Disclosure Document, if a franchisee is authorized to prepare any adaptation, translation, or work derived from the Copyrighted Works, or if they prepare any Copyrighted Works such as advertisements, manuals, posters, forms, or marketing or promotional material, such work becomes the sole and exclusive property of Healthsource Chiropractic. The franchisee must assign all rights, titles, and interests in the work to Healthsource Chiropractic.
Furthermore, the franchisee is required to execute any documents that Healthsource Chiropractic deems necessary to reflect their ownership of the adapted or newly created works. The franchisee must also submit all adaptations, translations, derivative works, and Copyrighted Works to Healthsource Chiropractic for prior written approval before they can be used.
This means that while a Healthsource Chiropractic franchisee may contribute to the creation of marketing or operational materials, they will not own any of the intellectual property rights to those materials. Healthsource Chiropractic retains full control and ownership, ensuring consistency and brand protection across all franchises. This is a fairly standard practice in franchising, as franchisors need to maintain uniformity and protect their brand identity.
