What This Means (2025 FDD)
According to HealthSource Chiropractic's 2025 Franchise Disclosure Document, franchisees are required to disclose to HealthSource Chiropractic any ideas, concepts, methods, or techniques of improvement relating to the franchise that they or their employees develop. HealthSource Chiropractic may then authorize the franchisee to use these improvements in their own franchise operation. Furthermore, HealthSource Chiropractic retains the right to use or authorize others to use these improvements in other HealthSource Chiropractic franchises owned or franchised by them or their affiliates. All such information disclosed to or developed by the franchisee is considered "Confidential Information".
This requirement ensures that HealthSource Chiropractic can leverage the collective knowledge and innovation of its franchisees to improve the overall system. By disclosing improvements, franchisees contribute to the evolution and enhancement of the HealthSource Chiropractic brand and operating model. This also allows HealthSource Chiropractic to maintain consistency and quality across all franchise locations by implementing best practices and innovations throughout the network.
For a prospective franchisee, this means that any successful innovations or improvements they develop during the operation of their HealthSource Chiropractic franchise must be shared with the franchisor. While the franchisee may benefit from using the improvement in their own location, they do not have exclusive rights to it, and HealthSource Chiropractic can disseminate it across the franchise system. This is a fairly standard practice in franchising, as franchisors seek to maintain uniformity and leverage best practices across all locations. Franchisees should consider this when evaluating the level of control and ownership they desire over their business operations and intellectual property.
