What This Means (2025 FDD)

According to the 2025 Healthsource Chiropractic Franchise Disclosure Document, Healthsource Chiropractic may disclose confidential and proprietary information in several forms. This information can be disclosed verbally or visually through training programs. Additionally, confidential information may be provided in written form via Healthsource Chiropractic's Operations Manual. The disclosure can also occur 'otherwise,' indicating that Healthsource Chiropractic is not limited to only these methods.

For a prospective franchisee, this means that the confidential information essential for operating a Healthsource Chiropractic franchise can come through various channels. Franchisees should pay close attention during training sessions, thoroughly review the operations manual, and be prepared to receive information through other means as well. It is the franchisee's responsibility to understand and protect this confidential information, regardless of how it is conveyed.

The FDD specifies that the confidential information includes services and products offered, sales and profit performance data, sources of products, advertising and promotional programs, methods, techniques, formats, procedures, systems, knowledge related to the franchise, and employee training methods. Franchisees are obligated to maintain the absolute confidentiality of this information and use it solely for operating their Healthsource Chiropractic franchise. Unauthorized copying is prohibited, and all tangible materials must be returned upon request.

This non-disclosure obligation extends beyond the term of the franchise agreement, meaning that even after the agreement expires or terminates, the franchisee must continue to protect the confidentiality of the information. However, the agreement does not prevent the franchisee from using information or knowledge that is publicly available. This is a standard practice in franchising to protect the franchisor's proprietary information and maintain a competitive advantage.
