What is the 'Deadline Date' in the context of obtaining a Healthsource Chiropractic franchise?

Answer from 2025 FDD Document

Upon receipt of this signed Acknowledgement and the Deposit, HealthSource agrees to not grant the
Protected Territory to any third party until after, 20 (the "Deadline Date"), and to
provide me with access to certain training, information and materials relating to operating a HealthSource

If HealthSource and I do not sign a Franchise Agreement or I do not pay the entire remaining portion of the Initial Franchise Fee on or before the Deadline Date, I will not have the right to operate a HealthSource Chiropractic franchise in the Protected Territory or use any HealthSource marks, logos, information or materials, and HealthSource may grant all or any portion the Protected Territory to another person or entity.

What This Means (2025 FDD)

According to the 2025 Healthsource Chiropractic Franchise Disclosure Document, the 'Deadline Date' is a specific date agreed upon between the prospective franchisee and Healthsource Chiropractic. This date is significant because it represents the deadline by which the franchise agreement must be signed, and the remaining portion of the initial franchise fee must be paid.

If the franchise agreement is not signed, or the full initial franchise fee is not paid by the 'Deadline Date', the prospective franchisee loses the right to operate a Healthsource Chiropractic franchise in the protected territory. Healthsource Chiropractic then has the right to grant the protected territory to another person or entity. The initial deposit made by the prospective franchisee is deemed earned by Healthsource Chiropractic for processing the application, reserving the territory, providing initial training, and disclosing confidential information.

This arrangement carries significant implications for potential franchisees. It emphasizes the importance of meeting the agreed-upon deadlines to secure the franchise territory. Failing to meet the 'Deadline Date' results in the loss of both the opportunity to operate the franchise and the initial deposit, highlighting the need for careful planning and financial readiness when pursuing a Healthsource Chiropractic franchise.
