HealthSource's acceptance of the Deposit does not constitute the grant of any rights to me to operate a HealthSource chiropractic clinic or use HealthSource's marks, logos, information or materials in practice or otherwise, and that such rights may only be granted through a Franchise Agreement that has been duly executed by both me and HealthSource.

What This Means (2025 FDD)
According to HealthSource Chiropractic's 2025 Franchise Disclosure Document, the acceptance of a deposit by HealthSource Chiropractic does not grant you the right to operate a HealthSource Chiropractic clinic. The right to operate a HealthSource Chiropractic clinic and use their marks, logos, information, and materials is only granted through a Franchise Agreement that has been duly executed by both you and HealthSource Chiropractic.
Specifically, HealthSource Chiropractic earns the deposit upon your submission of the Franchise Deposit Acknowledgement. The deposit covers the processing of your application, reserving the protected territory, providing initial training, disclosing confidential information, and performing services after your application is approved. However, if you and HealthSource Chiropractic do not sign a Franchise Agreement, or if you do not pay the remaining portion of the initial franchise fee by the specified deadline, you will not have the right to operate a HealthSource Chiropractic franchise.
This is a standard practice in franchising. The deposit demonstrates your serious intent, and it compensates the franchisor for the initial work involved in evaluating your application and preparing to set up your franchise. However, it's crucial to understand that the deposit period is essentially a due diligence phase for both parties, and the actual franchise rights are only conveyed upon signing the final Franchise Agreement.
