What This Means (2025 FDD)

According to Hck Hot Chicken's 2025 Franchise Disclosure Document, Hck Hot Chicken can terminate the Area Development Agreement with cause if the franchisee or any of its affiliates materially default under the Area Development Agreement, an individual Franchise Agreement, or any other agreement with Hck Hot Chicken. This is a standard clause in franchise agreements, allowing the franchisor to protect its brand and system from franchisees who fail to meet their contractual obligations.

Specifically, the FDD outlines a cure period for certain defaults. A franchisee has ten days to cure non-payment of fees and 30 days to cure any other default. However, the excerpt indicates that there are conditions where a breach or default in the performance of obligations cannot be cured, but it does not specify what those obligations are.

This means that a prospective Hck Hot Chicken area developer needs to understand clearly what constitutes a 'material default' under all agreements with Hck Hot Chicken and what specific defaults are not curable. It is crucial to review all agreements carefully with legal counsel to fully understand the termination provisions and potential risks. Franchisees should also maintain open communication with Hck Hot Chicken to address any concerns or potential defaults promptly to avoid termination.
