- 14.3.7 Intellectual Property Misuse.
If Franchisee materially misuses or makes any unauthorized use of the Marks or otherwise materially impairs the goodwill associated therewith or Franchisor's rights therein, or takes any action which reflects materially and unfavorably upon the operation and reputation of the Franchised Restaurant, the System, or the "HCK Hot Chicken" brand generally.
Franchisee's unauthorized use, disclosure, or duplication of the "Trade Secrets", excluding independent acts of employees or others if Franchisee shall have exercised its best efforts to prevent such disclosures or use.
SECTION 15. RIGHTS AND OBLIGATIONS UPON TERMINATION
- 15.1 General. Upon the expiration or termination of Franchisee's rights granted under this Agreement:
- 15.1.1 Franchisee shall immediately cease to use all Trade Secrets, the Marks, and any confusingly similar trademark, service mark, trade name, logotype, or other commercial symbol or insignia. Franchisee shall immediately return the HCK Hot Chicken Brand Standards Manual, all training materials, electronic files, records, customer lists, files, advertising and promotional materials and all other written materials incorporating Trade Secrets and all copies of the whole or any part thereof to Franchisor. Franchisee shall at its own cost make cosmetic changes to the Franchised Restaurant so that it no longer contains or resembles Franchisor's proprietary designs, including: Franchisee shall remove all materials that would identify the

Furthermore, the franchisee must make cosmetic changes to the restaurant to ensure it no longer resembles a Hck Hot Chicken restaurant, including removing materials that identify it as such.
In the event of termination, Hck Hot Chicken has the option to enter and take possession of the restaurant to maintain continuous operation and protect its interests. The franchisor can also require the franchisee to sell equipment and furnishings associated with the restaurant to Hck Hot Chicken at their fair market value. These stipulations ensure that upon termination, the franchisee no longer benefits from Hck Hot Chicken's intellectual property and that Hck Hot Chicken can maintain control over its brand and operational standards.
