What happens to training materials upon termination of the Hck Hot Chicken franchise agreement?

According to Hck Hot Chicken's 2025 Franchise Disclosure Document, upon termination of the franchise agreement, the franchisee must immediately return all training materials to the franchisor. Specifically, the franchisee is required to return the HCK Hot Chicken Brand Standards Manual, all training materials, electronic files, records, customer lists, files, advertising and promotional materials, and all other written materials incorporating trade secrets, including all copies. This obligation arises whether the franchise agreement expires or is terminated.

In addition to returning the training materials, the franchisee is responsible for making cosmetic changes to the franchised restaurant so that it no longer resembles Hck Hot Chicken's proprietary designs. This includes removing materials that identify the premises as a Hck Hot Chicken restaurant and altering distinctive cosmetic features, finishes, and signage. Alternatively, Hck Hot Chicken has the option to take possession of the restaurant to maintain continuous operation and protect its interests.

The HCK Hot Chicken Brand Standards Manual is considered copyrighted and remains the property of the franchisor. It is loaned to the franchisee for the term of the agreement and must be returned immediately upon termination or expiration. The manual contains trade secrets, and franchisees are prohibited from making copies or excerpts without prior written consent from Hck Hot Chicken. Failure to return the manual or any unauthorized transfer constitutes a material default of the franchise agreement.
