What This Means (2025 FDD)

According to Hck Hot Chicken's 2025 Franchise Disclosure Document, if a franchisee fails to comply with the terms of the franchise agreement, Hck Hot Chicken deems that it will cause substantial and irreparable damage to them and/or other Hck Hot Chicken franchisees, for which monetary damages would not be sufficient compensation. As a result, Hck Hot Chicken is entitled to injunctive relief, meaning a court order that compels the franchisee to either perform specific actions or to stop certain actions that violate the agreement.

The franchise agreement states that Hck Hot Chicken can pursue injunctive relief without having to post a bond, although with due notice to the franchisee. The franchisee's sole remedy if an injunction is issued is to seek its dissolution if warranted after a hearing. The franchisee expressly waives any claims for damages resulting from a wrongfully issued injunction. However, if a court requires a bond, the parties agree that the bond amount will not exceed $1,000.

The franchise agreement specifies that the availability of injunctive relief does not exclude any other remedies Hck Hot Chicken may have under the agreement, at law, or in equity. These remedies can be combined and may include specific performance (requiring the franchisee to fulfill their contractual obligations) and recovery of monetary damages. Furthermore, any claims, defenses, or causes of action the franchisee may have against Hck Hot Chicken cannot be used to prevent Hck Hot Chicken from enforcing the agreement.
