According to Hck Hot Chicken's 2025 Franchise Disclosure Document, franchisees must protect the 'Confidential Materials and Practices' of the company. These include the contents of the HCK Hot Chicken Brand Standards Manual, marketing concepts, and operating methods and techniques. To prevent unauthorized use and disclosure, Hck Hot Chicken may prescribe reasonable procedures, such as limiting access to confidential information to management employees with a need to know and requiring these individuals to sign non-disclosure agreements.
The HCK Hot Chicken Brand Standards Manual is copyrighted and remains the property of the franchisor. It is loaned to the franchisee for the term of the agreement and must be returned upon termination or expiration. Franchisees cannot make copies, reproductions, or excerpts of the manual without express prior written consent from Hck Hot Chicken. Loss or unauthorized transfer of the manual constitutes a material default of the franchise agreement.
Franchisees must operate the restaurant and implement all reasonable procedures prescribed by Hck Hot Chicken to prevent unauthorized use and disclosure of trade secrets. This includes implementing restrictions and limitations on disclosure to employees and using non-disclosure and non-competition provisions in employment agreements with employees who may have access to trade secrets. Franchisees must promptly deliver executed copies of such agreements to Hck Hot Chicken upon request.
These confidentiality obligations continue even after the termination of the franchise agreement. Upon termination, franchisees must immediately cease using all trade secrets and return the HCK Hot Chicken Brand Standards Manual, training materials, electronic files, records, customer lists, and advertising materials to Hck Hot Chicken. Franchisees are also required to make cosmetic changes to the restaurant so that it no longer resembles an Hck Hot Chicken restaurant, removing all materials that would identify the premises as a restaurant operated under the Hck Hot Chicken system.
