- **5.
Term.** The Term begins on the date that we insert in the preamble of this Agreement after we sign it (the "Effective Date") and expires at the end of the twentieth (20th) Franchise Year.
NEITHER PARTY HAS RENEWAL RIGHTS OR OPTIONS.
However, if applicable law requires us to offer renewal rights, and you desire to renew this Agreement, then you will apply for a renewal franchise agreement at least six months, but not more than nine months, prior to the expiration date, and subject to such applicable law, you will have to meet our then-current requirements for applicants seeking a franchise agreement, which may include (i) executing our then-current form of license and other agreements, which license and other agreements may contain materially different terms and provisions (such as operating standards and fees) from those contained in this Agreement; (ii) executing a general release of us and our affiliates, in form and substance satisfactory to us; (iii) completing a property improvement plan; and (iv) paying a standard renewal fee, if then applicable.

What This Means (2025 FDD)
According to the 2025 Hawthorn Suites By Wyndham Franchise Disclosure Document, the franchise term begins on the effective date specified in the agreement and extends until the end of the twentieth franchise year. This means the initial term for a Hawthorn Suites By Wyndham franchise is 20 years.
It is important to note that the agreement explicitly states that neither party has renewal rights or options. However, if applicable law requires Hawthorn Suites By Wyndham to offer renewal rights, a franchisee can apply for a renewal franchise agreement between six and nine months prior to the expiration date.
In the event that renewal rights are required by law and the franchisee desires to renew, they must meet Hawthorn Suites By Wyndham's then-current requirements for applicants. These requirements may include executing the current form of license and other agreements (which may contain materially different terms and provisions), executing a general release of Hawthorn Suites By Wyndham and its affiliates, completing a property improvement plan, and paying a standard renewal fee, if applicable. This means that while there is no guarantee of renewal, a franchisee may have the opportunity to extend their agreement under certain conditions and subject to the prevailing terms at the time of renewal.
