For Hawthorn Suites By Wyndham, what is the purpose of the RevIQ Supplement?

According to Hawthorn Suites By Wyndham's 2025 Franchise Disclosure Document, the purpose of the RevIQ Supplement is to provide franchisees with a customized revenue management system. This system, known as "RevIQ," is designed in collaboration with a third-party vendor, IDeaS, and includes Hawthorn Suites By Wyndham's own products and services. The RevIQ Products and/or Services, along with Hawthorn Suites By Wyndham's own products and/or Services, are considered Products and/or Services as defined in the Franchise or Membership Agreement and the Oracle Schedule.

To utilize the RevIQ system, franchisees must enter into and maintain an Oracle Schedule with Hawthorn Suites By Wyndham. The terms and conditions in the Agreement or the Oracle Schedule that apply to accessing and using the Products and/or Services also apply to the RevIQ Products and/or Services. Hawthorn Suites By Wyndham will provide the RevIQ Products and Services as detailed in an attached exhibit.

Hawthorn Suites By Wyndham also provides its own products and services, including initialization services, first-level support for the RevIQ Products and/or Services (such as maintaining a tracking system for incidents and a proficient support staff), coordination with third-party providers when necessary, and training on the RevIQ Products and/or Services through Wyndham University. However, Hawthorn Suites By Wyndham's products and services do not include support for OPERA databases, servers, application servers, or storage housed at an Oracle data center, nor do they include data backup services, which remain the franchisee's responsibility. Franchisees are restricted from sharing the output of the RevIQ Products and/or Services with third parties, selling or sublicensing access to the system, attempting to reverse engineer the source code, using the system to process third-party data, or developing competing products.
